Terms and Conditions
These terms and conditions (the "Terms and Conditions") govern the use of studio.kobodirect.ca (the "Site"). This Site is owned and operated by Kobodirect Holdings Inc. This Site is a creative and e-commerce platform.
By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.
Intellectual Property
All content published and made available on our Site is the property of Kobodirect Holdings Inc. and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files, videos, audio recordings, photography, and anything that contributes to the composition of our Site.
All creative work produced by Kobodirect Studios (photography, videography, audio recordings) remains the intellectual property of Kobodirect Holdings Inc. until full payment is received and usage rights are transferred according to the agreed service package.
Age Restrictions
The minimum age to use our Site is 16 years old. By using this Site, users agree that they are over 16 years old. We do not assume any legal responsibility for false statements about age.
Minors under 18 years old must have parental or guardian consent to book studio services or make purchases on our Site.
Acceptable Use
As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:
  • Harass or mistreat other users of our Site;
  • Violate the rights of other users of our Site;
  • Violate the intellectual property rights of the Site owners or any third party to the Site;
  • Hack into the account of another user of the Site;
  • Act in any way that could be considered fraudulent;
  • Post any material that may be deemed inappropriate or offensive;
  • Use our studio space or services for illegal activities;
  • Damage, misuse, or tamper with studio equipment or facilities; or
  • Misrepresent your identity or affiliation when booking services.
If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.
Booking Services
Photography, Videography, and Audio Production Services
When you book a service through our Site, you agree to:
  1. Provide accurate information during the booking process;
  2. Arrive on time for scheduled sessions (or notify us at least 48 hours in advance of cancellations);
  3. Pay the agreed-upon fees in full according to the payment schedule;
  4. Follow directions from our creative team during sessions;
  5. Respect studio rules and equipment; and
  6. Review and approve deliverables within the agreed timeline.
Cancellation and Rescheduling Policy
  • 48+ hours notice: Full refund or free rescheduling
  • 24-48 hours notice: 50% refund or rescheduling fee applies
  • Less than 24 hours notice or no-show: No refund, full session fee charged
Emergency exceptions may be considered on a case-by-case basis.
Studio Space Rentals
If you are renting our studio space for your own creative projects, you agree to:
  1. Arrive on time for your scheduled rental period;
  2. Use equipment responsibly and return all items in their original condition;
  3. Maintain cleanliness of the studio space during and after your session;
  4. Assume liability for any damage to equipment or facilities caused by negligence or misuse;
  5. Follow all safety protocols provided by studio staff;
  6. Pay applicable fees for extended time or equipment damage;
  7. Maintain professional conduct at all times while on studio premises;
  8. Not sublease or transfer your studio rental to third parties without written permission; and
  9. Obtain necessary insurance for your own equipment and personnel.
Damage Deposit: A refundable damage deposit may be required for studio rentals. This deposit will be returned within 7 business days if no damage occurs.
Overtime Charges: Studio rentals that exceed the booked time will be charged at an hourly rate as specified in your rental agreement.
Payment Terms
  1. Deposit Requirements: A non-refundable deposit (typically 25-50% of total cost) is required to secure bookings.
  2. Payment Methods: We accept credit cards, debit cards, and e-transfers.
  3. Final Payment: Full payment must be received before final deliverables are released.
  4. Late Payments: Overdue invoices may incur a 5% monthly late fee.
  5. Refund Policy: Refunds are processed according to our cancellation policy outlined above.
Deliverables and Usage Rights
Ownership and Rights
  • Raw Files: Raw, unedited files remain the property of Kobodirect Studios and are not included unless specifically purchased.
  • Edited Content: Final edited photography, video, and audio files are delivered according to the agreed package.
  • Usage Rights: Clients receive usage rights as specified in their service agreement. Additional licensing fees apply for commercial use, resale, or distribution beyond agreed terms.
  • Portfolio Use: Kobodirect Studios reserves the right to use completed work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
Delivery Timeline
Delivery timelines are specified in each service agreement. Typical timelines:
  • Photography: 2-4 weeks
  • Video production: 4-6 weeks
  • Audio production: 2-3 weeks
Rush delivery is available for an additional fee to be determined at time of purchase.
User Contributions
Users may post the following information on our Site:
  • Public comments
  • Reviews and testimonials
  • Inquiries through contact forms
By posting publicly on our Site, you agree not to act illegally or violate these Terms and Conditions. You grant Kobodirect permission to use your testimonials and reviews in our marketing materials.
Limitation of Liability
Kobodirect Holdings Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site.
We are not responsible for:
  • Loss of personal items left in the studio
  • Technical failures or equipment malfunctions beyond our control
  • Delays caused by factors outside our control (weather, illness, etc.)
  • Dissatisfaction with creative direction if client approval was given during the process
Our maximum liability for any claim related to our services shall not exceed the total amount paid by the client for the specific service in question.
Indemnity
Except where prohibited by law, by using this Site you indemnify and hold harmless Kobodirect Holdings Inc. and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.
Force Majeure
Kobodirect Studios shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government restrictions, power failures, or equipment failures not caused by negligence.
Applicable Law
These Terms and Conditions are governed by the laws of the Province of Ontario, Canada.
Any disputes arising from these Terms and Conditions or the use of our Site shall be resolved in the courts of Ontario.
Severability
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.
Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.
Continued use of the Site after changes are posted constitutes acceptance of the updated Terms and Conditions.
